CORPORATE LAW

The Firm's Corporate Law section advises individuals in starting new businesses and restructuring existing ones and selecting the business structure which best fits their needs, such as joint ventures, general partnerships, limited partnerships, corporations and limited liability companies. Our representation includes formulation of joint venture, partnership and limited partnership agreements, incorporation and organization of the entity, stock buy-sell agreements, operating and management agreements, employment and independent contractor agreements, and other company agreements. The firm’s attorneys also negotiate and prepare agreements for software consulting, employment, software development, confidentiality, software and source code escrow, software license, run-time agreements, software support and maintenance, re-seller agreements and other computer agreements. We provide litigation services in intellectual property protection and defense.

We represent parties in litigation in Georgia state and federal courts. Our practice includes business, commercial and contract litigation, real estate litigation, divorce litigation, agricultural law, complex litigation, landlord-tenant litigation, intellectual property litigation, probate and estates and trusts litigation. Our real estate and property litigation includes eminent domain and condemnation, inverse condemnation, surface water and siltation runoff, trespass against air rights, conversion, protective covenants, breaches of real estate contracts, easement litigation, property line disputes, forged and fraudulent deeds and other matters concerning both real and personal property.
